3. Enquiries and service proposals
Submitting a form, sending an enquiry, or requesting a Product IQ Stress Test does not create a client relationship by itself. Paid work only begins when Canonica and the client agree to a written proposal, statement of work, invoice, or other written engagement terms. If there is any inconsistency between these website Terms & Conditions and a signed proposal or written client agreement, the client agreement will apply to the extent of the inconsistency.
4. What Canonica does
Canonica builds product intelligence using available product information, product records, reviews, buyer questions, claims, category judgement, and other relevant sources. This may include structured attributes, evidence notes, claim cautions, suitability logic, buyer-query mapping, review signals, limitations, exclusions, and related recommendations.
Canonica provides intelligence, analysis, and recommendations. Your team remains responsible for deciding how to implement that intelligence across your ecommerce platform, product pages, PIM, feeds, schema, content, search, merchandising, support, or other systems.
5. No guarantee of AI recommendations or commercial outcomes
Canonica does not control AI platforms, search engines, marketplaces, retailers, prompts, rankings, model outputs, buyer behaviour, or third-party systems.
We do not guarantee that your products will be recommended, ranked, cited, displayed, indexed, purchased, or preferred by any AI platform, search engine, marketplace, or buyer.
Our work focuses on the part your brand can control: the quality, clarity, evidence, and structure of the product intelligence available to buyers, internal teams, and AI-assisted buying systems.
6. Client materials and accuracy
You are responsible for providing accurate, complete, lawful, and up-to-date materials to Canonica.
This may include product URLs, product records, specifications, review exports, customer questions, claims, product data, support themes, internal notes, or other materials.
You are responsible for ensuring you have the right to provide any product information, review exports, customer feedback, support data, internal records, or other materials to Canonica.
Unless otherwise agreed in writing, you must not provide customer personal information, sensitive information, payment information, passwords, access credentials, confidential third-party information, or information you are not authorised to share.
Where customer reviews, support tickets, customer questions, or feedback are provided, they should be de-identified where reasonably possible. Canonica relies on the information provided by you and available from relevant sources. We are not responsible for errors, omissions, or outcomes caused by inaccurate, incomplete, outdated, unlawful, or misleading client materials.
7. Intellectual property
All intellectual property on this website, including text, frameworks, diagrams, methodology, branding, graphics, and other content, is owned by Canonica or licensed to Canonica.
You must not copy, reproduce, modify, distribute, scrape, reverse engineer, or commercially exploit website content without written permission.
Unless otherwise agreed in writing:

Canonica retains ownership of its pre-existing methods, frameworks, templates, processes, know-how, and methodology;

after full payment, you may use the final deliverables prepared for you for your own business purposes, including internal use, public implementation, ecommerce content, product pages, search, merchandising, support, feeds, PIM, schema, product records, buying guides, comparison content, AI-commerce workflows, and related commercial use.
8. Confidentiality
If you provide non-public product information, exports, review data, commercial information, or other confidential material, Canonica will take reasonable steps to keep that information confidential.
Canonica may use confidential client materials only for the purpose of assessing, providing, improving, or discussing the relevant services, unless otherwise agreed or required by law.
9. Third-party and AI-enabled tools
Canonica may use third-party software, cloud services, analytics tools, productivity tools, and AI-enabled tools to help assess, structure, analyse, or prepare service outputs. Where we use these tools, we take reasonable steps to limit unnecessary personal information, direct identifiers, sensitive information, or confidential customer data. Canonica does not control third-party platforms and is not responsible for their availability, data handling, rankings, decisions, outputs, system changes, or performance.
10. Fees, payment, cancellation, and refunds
Fees, payment terms, project scope, cancellation terms, and any refund arrangements for paid work will be set out in the relevant proposal, invoice, statement of work, or written client agreement.
Nothing in these Terms & Conditions excludes, restricts, or modifies any rights you may have under the Australian Consumer Law or any other law that cannot be excluded.
11. Limitation of liability
To the maximum extent permitted by law, Canonica is not liable for indirect, incidental, special, consequential, or economic loss, including loss of revenue, loss of profit, loss of opportunity, loss of data, loss of goodwill, or loss arising from third-party platforms, AI systems, search engines, marketplaces, client implementation decisions, or reliance on incomplete or inaccurate client materials. Where liability cannot be excluded, Canonica’s liability is limited to the maximum extent permitted by law.
